NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. “The Home Depot® Renovate Your Space Sweepstakes” is referred to throughout these Official Rules as the “Promotion.” The Promotion is open to legal residents of any one (1) of the fifty (50) United States or the District of Columbia (collectively the “U.S.”), exclusively, who reside and are physically located in the U.S. and are eighteen (18) years of age or older at time of entry.

Employees, directors and officers of The CW Network, LLC (“The CW”), and Home Depot USA, Inc. (collectively the “Sponsors”), Warner Bros. Entertainment, Inc., and Administering Agency (defined below), or their respective parent companies, subsidiaries, affiliates, distributors, divisions, broadcast affiliates or advertising and promotion agencies associated with the Promotion or prize suppliers for the Promotion (collectively “Promotion Parties”) and members of the immediate family or household of any such employee, officer or director (whether related or not) are not eligible to enter this Promotion. For the purposes of the Promotion, immediate family members are defined as mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren.

All applicable federal, state and local laws and regulations apply. Void outside the fifty (50) United States and the District of Columbia and where prohibited.

The Promotion is administered by L.A. Promotion Development, Inc. (“Administering Agency”). By entering, participants agree to be bound by these Official Rules and the decisions of the Sponsors and Administering Agency, which are final and binding in all respects.

ENTER IN THE FOLLOWING WAY: Participants may enter the Promotion online only. Only one (1) entry per person, per day (regardless of method of entry). A “day” for the purpose of this Promotion is a period that begins at 6:00:01 p.m. Pacific Time (“PT”) and ends at 5:59:59 p.m. (PT).

The Promotion begins at 6:00:01 p.m. (PT) on Monday, May 7, 2007, and ends at 5:59:59 p.m. (PT) on Friday, May 18, 2007 (the “Promotion Period”). Entries received before and/or after the Promotion Period will be void.

Online entries must be received no later than 5:59:59 p.m. (PT), Friday, May 18, 2007.

The CW will be the official timekeeper for the Promotion.

To Enter the Promotion:

Access “The Home Depot Renovate Your Space Sweepstakes” on the World Wide Web at http://www.CWtv.com/homedepot. Follow the on-screen instructions to reach the Promotion registration page. On the registration page and in the spaces provided, enter the following information: your first name, last name, street address (no P.O. boxes allowed), city, state, zip code, daytime telephone number, e-mail address and date of birth.

Each participant entering the Promotion must also, in the space provided, type in his/her full legal name as his/her signature. By providing this signature and by clicking on the “Submit” button, each participant forwards his/her entry to the Promotion, agrees to these Official Rules and accepts The CW’s Privacy Policy.

Submission of false or misleading personal information by a participant will be grounds for disqualification of entry. Entries generated by a script, macro or other automated means will be disqualified. Illegible or incomplete entries, as determined by The CW or Administering Agency, at their sole discretion, will be disqualified. All entries and their content become the sole property of The CW and will not be returned or acknowledged. The CW and/or Administering Agency will not deem proof of submission of an entry as proof of receipt of an entry.

WINNER SELECTION/ODDS:

The Administering Agency will conduct a random draw on, or about, Wednesday, May 23, 2007, from all eligible entries received. If your entry is randomly drawn and it meets the Promotion’s eligibility criteria, you could be eligible to win a prize (subject to the Administering Agency’s verification process). If a potential prizewinner is found ineligible or fails to comply with these Official Rules, that individual’s claim to the prize is forfeited and an alternate randomly drawn eligible entry will be contacted. Odds of winning a prize are determined by total number of eligible entries received by Promotion end date.

In the event of a dispute regarding the identity of an entrant who has entered online, the entry will be deemed submitted by the authorized account holder of the e-mail address provided. An authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain name associated with the submitted e-mail address.

PRIZES:

Two (2) First Prizes and one (1) Grand Prize will be awarded to the winners selected in accordance with the “Winner Selection/Odds” section above.

Total Approximate Retail Value (“ARV”) of all prizes in this Promotion: $15,000.00.

First Prizes: Each First Prize winner will receive one (1) twenty-five-hundred-dollar ($2,500.00) The Home Depot Gift Card. ARV of each First Prize: $2,500.00.

Grand Prize: Grand Prize winner will receive one (1) ten thousand-dollar ($10,000.00) The Home Depot Gift Card. ARV of Grand Prize: $10,000.00.

Prizewinners will be issued an IRS form 1099 based on the actual ARV.

Prizes do not include transportation to and from prizewinner’s residence and any The Home Depot retail store and/or any other expenses not specified in these Official Rules. All of the expenses mentioned in the previous sentence are the sole responsibility of the respective prizewinner.

PRIZEWINNER NOTIFICATION PROCESS:

A tentative prizewinner will be notified by telephone and/or e-mail. If he/she cannot be reached within five (5) business days from the date of first notification attempt, such person will be disqualified and an alternate entry will be randomly drawn.

Once Administering Agency has received verbal confirmation from the tentative prizewinner of his/her desire to accept the prize (subject to verification of eligibility), tentative prizewinner will receive a Prizewinner Affidavit of Eligibility/Release of Liability (“Affidavit”) via e-mail, mail or other courier service. Prizewinner will be required to provide a valid Social Security number for tax purposes.

If a prizewinner is under the age of majority in his/her state of residence, a parent of that individual must complete the Affidavit for him/her and must complete the Parent section of the Affidavit. A legal guardian must provide written proof of guardianship.

All Affidavits must be completed, notarized and returned to the Administering Agency (L.A. Promo, 206 N. Signal Street, Suite P, Ojai, CA 93023) within seven (7) calendar days of tentative prizewinner’s receipt of the Affidavit. A disqualification may result and an alternate entry will be randomly drawn if Affidavit is not returned to the Administering Agency within the specified time. Refusal or return of any prize notification or Affidavit as undeliverable will also result in disqualification and an alternate entry will be randomly drawn.

ADDITIONAL PRIZE INFORMATION/TAXES:

Gift Cards are subject to terms and conditions on the back of each card and as otherwise specified by The Home Depot. Prizes are not transferable or redeemable for cash and no substitutions are allowed, except by Sponsors, who reserve the right to substitute a prize of comparable or greater value, at their sole discretion. Winners may use The Home Depot Gift Card toward the purchase of merchandise at any The Home Depot retail store, EXPO Design Center, or HD SupplySM store. The Home Depot Gift Card has no implied warranties, is not a credit card or debit card, and is redeemable for merchandise only and will not be redeemed or exchanged for cash, check or credit. It may not be used for payment on any credit or loan account. Lost, stolen or damaged The Home Depot Gift Cards will not be canceled and replaced without the required proof of acceptance by the winner. Additional terms and conditions apply. Prizewinner is solely responsible for any and all federal, state and local taxes on prize value.

PRIVACY STATEMENT:

Specific to the Promotion, a participant’s personal information will be utilized by the Administering Agency for selecting the winner, fulfillment of Promotion prize and to comply with legal requirements. PUBLICITY GRANT:

Except where prohibited by law or The CW’s Privacy Policy, by entering the Promotion, each participant grants the Promotion Parties the perpetual and irrevocable right and license to use his/her name, photograph, visual and audio likeness, statements, biographical information, address and any other information contained in his/her entry on a worldwide basis, for commercial and other purposes, and in all forms of media now known or hereafter devised, in perpetuity, without further compensation, review or approval.

NO WARRANTIES:

ALL PRIZES ARE PROVIDED “AS IS” AND “with all faults.” Promotion Parties make no warranties, express or implied, in fact or in law, relative to the use or enjoyment of ANY prize, or any portion thereof, including, without limitation, its quality, merchantability or fitness for a particular purpose. Any and all warranties for A prize, or any portion thereof, are contained in the manufacturer’s or service provider’s warranTY, as relevant.

RELEASE, HOLD HARMLESS AND INDEMNIFICATION:

By entering, participants release and agree to defend, indemnify and hold harmless the SPONSORS AND ALL PROMOTION PARTIES INVOLVED IN THIS PROMOTION from and against any and all claims, demands, losses and causes of action for any DAMAGES (INCLUDING, WITHOUT LIMITATION, ALL CONSEQUENTIAL, ECONOMIC AND INCIDENTAL DAMAGES), liability, loss, cost, fees (including attorneys’ fees), including, without limitation, damage to PERSON (INCLUDING DEATH) OR personal or real property, due in whole or in part, directly or indirectly, by reason of THE acceptance, possession, use or misuse of ANY prize (including any activity OR TRAVEL related thereto) or participation in the PROMOTION AND WHETHER OR NOT CAUSED, IN WHOLE OR IN PART, BY THE ACTS, OMISSIONS, NEGLIGENCE OR MISCONDUCT OF THE PROMOTION PARTIES.

DISCLAIMERS/LIMITATIONS ON LIABILITY:

By ENTERING, EACH PARTICIPANT agreeS that THE PROMOTION PARTIES assume no liability whatsoever for injuries or damages of any kind sustained in connection with THE use, acceptance, possession or awarding of ANY prize or while preparing for, participating in and/or traveling to or from any PROMOTION-related activity, including, without limitation, any injury, damage, death, loss OR accident to person or property due to an intentional act, an act of negligence or default and/or any act of God.

PARTICIPANTS AGREE THAT THE PROMOTION PARTIES ACCEPT NO RESPONSIBILITY FOR ANY EXPENSES, OMISSIONS, DELAYS, REROUTING, OR ACTS OF ANY GOVERNMENT OR AUTHORITY. WINNER ACKNOWLEDGES THAT HE/SHE IS SOLELY RESPONSIBLE FOR ANY ACTIONS, CLAIMS OR LIABILITIES RELATED TO ANY PROMOTION ACTIVITY.

The Promotion Parties are not responsible for any damaged, delayed, illegible, incomplete, late, lost, misaddressed, misdirected, mutilated, postage-due or stolen mail. In addition, Promotion Parties are not responsible for any typographical errors in these Official Rules, Promotion content or any advertising materials for the Promotion, or for any kind of computer, electronic, hardware, software, Internet, network, technical or telephone failures and/or problems caused by the Promotion Parties or the user, or by any of the equipment or programming associated with or utilized in the Promotion, or by any human error that may occur in receiving and/or processing of the entries in the Promotion, or by infection by computer viruses, bugs, tampering, unauthorized intervention, fraud or technical failure.

If the Promotion becomes compromised, hampered, interrupted, not capable of running as planned, rendered impossible of performance in any way or prevented, including, without limitation, because of any kind of computer viruses, bugs, electronic, hardware, software, Internet, network, technical or telephone failures, tampering, unauthorized intervention, fraud, an event of force majeure or any other cause created by Promotion Parties, the user or by any of the equipment or programming associated with or utilized in the Promotion, The CW reserves the right, at its sole discretion, to change the Official Rules, to cancel, modify, suspend or withdraw the Promotion or any Promotion offer and/or cancel, modify, suspend or withdraw any method of entry, without notice, and select winners from among all eligible entries received for the Promotion prior to or after the cancellation, modification, suspension or withdrawal. As used herein, an event of force majeure shall be deemed to include, without limitation, an act of God; an act of terrorism, war, riot or civil commotion; fire; casualties; boycott; labor dispute, strike or stoppage (including a strike by the members of any union); an act of any federal, state or local authority; or any other similar or dissimilar act beyond the Sponsors’ or Administering Agency’s control.

GENERAL CONDITIONS OF ENTRY:

All participants, as a condition of entry, agree that they have not purchased any kind of Internet service whatsoever in order to participate in and/or enter the Promotion. Participants agree not to knowingly damage or cause interruption of the Promotion and/or prevent others from utilizing the Promotion. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION OR CAMPAIGN VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, THE CW AND/OR ADMINISTERING AGENCY MAY, AT THEIR SOLE AND REASONABLE DISCRETION, DISQUALIFY ANY PARTICIPANTS MAKING SUCH ATTEMPT AND THE CW MAY SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.

GOVERNING LAW AND VENUE:

The parties agree that the Promotion and these Official Rules will be governed, construed and interpreted under the laws of the state of California. Each participant and their parent/legal guardian agree that any or all lawsuits brought by participants or their parents or legal guardians pursuant to these Official Rules or the Promotion will be brought in the courts of the state of California.
